These Blub Blub Wheel Of Fortune Terms and Conditions (the “Terms”) govern your participation in the Wheel of Fortune Campaign (the “Campaign”). By participating in the Campaign, you agree to be bound by these Terms, therefore please read these Terms carefully. If you do not agree to be bound by these Terms, please refrain from participating in the Campaign. “Blub Blub” means Blub Blub Inc., 3500 South DuPont Highway, Suite AT-101, 19901 Dover, County of Kent, Delaware, United States.

1 GENERAL

The campaign is open only to individuals who (i) have reached the age of majority in their jurisdiction of residence at the time of entry and (ii) who do NOT reside in Cuba, Iran, North Korea, Sudan or Syria. Employees of Blub Blub, and its subsidiaries and affiliates, and their immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they live) or persons living in the same households of such employees, whether or not related are not eligible.

CAMPAIGN IS VOID IN (i) CUBA, IRAN, NORTH KOREA, SUDAN, SYRIA; (ii) WHERE PROHIBITED BY LAW AND (iii) WHERE REGISTRATION WITH AUTHORITIES OR FULFILMENT OF OTHER CONDITIONS (E.G. HAVING RULES PUBLISHED IN THE LOCAL LANGUAGE) IS NECESSARY IN ACCORDANCE WITH LOCAL LAWS.

During the Term of the Campaign visitors of Blub Blub’s website www.speechblubs.com (the “Website”) that have accessed the Blub Blub Wheel of Fortune (“you” or “Participant”) will be granted one option to be awarded a random gift from a selection of gifts provided, as stated below. You may not enter the Blub Blub Wheel Of Fortune more than once, by using multiple identities or devices in an attempt to circumvent these Terms. If you use fraudulent methods or otherwise try to circumvent these Terms, you may be removed from eligibility at Blub Blub’s sole discretion.

Participation in the Campaign is free of charge and does not require making any purchase or paying any fee to Blub Blub. Purchase or download of any kind will not increase your chances of winning a gift.

The Campaign shall take place: from June 1st, 2021 until June 1st, 2022(the “Term”).

Blub Blub assumes no responsibilities for accessing the Blub Blub Wheel Of Fortune not on time or at all for whichever reason, including due to malfunction or technical error.

2 GIFTS

Subject to these Terms, Participants who will make a Spin, will be entitled to receive one of the gifts, presented below, which will be randomly chosen by the algorithm.

No cash alternative to the gifts will be offered. The gifts are offered on a “NO EXCHANGE, NO REFUND” basis and are not transferable. Any redemption and use of any gift, as well as any and all gift-related expenses, including but not limited to any and all federal, state, and/or local taxes shall be the sole responsibility of the Participant. No substitution of gift or request for the cash equivalent by Participant shall be allowed.

In order to receive the gift, the Participant will be offered to spin the virtual wheel by clicking on the “Try your luck” button, which will constitute an eligible spin (the “Spin”). Promptly after the Spin is made the Participant shall receive an indication of the gift which was randomly selected and automatically assigned to the Participant. Each Participant is eligible for one Spin only and gifts are limited to one gift per one Participant’s Spin only.

Each Participant hereby acknowledges that the pool of gifts during the Campaign is not guaranteed and that the pool of gifts may be fully exhausted prior to the end of the Term, and that Participant shall have no right in connection thereof and Blub Blub shall have no obligation whatsoever to replenish the gifts and/or provide Participant with alternatives. Participant hereby confirms its non-reliance on the availability of the gift and waives, to the maximum extent permitted under applicable law, and any and all claims whatsoever that it may have in connection thereof or with respect to the eligibility for gifts.

Blub Blub reserves the right to change, modify and cancel the Campaign or any part thereof (including adding or reducing the number of gifts, canceling any of the gifts, etc.) or discontinue the Campaign at any time without notice, at its sole discretion, and without any liability on its part. Blub Blub’s decisions on all matters in relation to the Campaign will be final and binding.

3 NO WARRANTY AND LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLUB BLUB AND EACH OF ITS AFFILIATES, AND/OR EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, SERVANTS, OR AGENTS SHALL NOT BE LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGE ARISING FROM YOUR PARTICIPATION IN THE CAMPAIGN OR ANY OTHER CLAIM RELATED IN ANY WAY TO THE CAMPAIGN. THESE EXCLUSIONS INCLUDE, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF BLUB BLUB HAD BEEN ADVISED OF THE POSSIBILITY THEREOF AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY UPON WHICH THE CLAIM IS BASED. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, BLUB BLUB’S LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

PARTICIPANTS AGREE AND ACKNOWLEDGE THAT ALL GIFTS ARE PROVIDED “AS IS” WITHOUT ANY WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT, OR IN LAW, WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO THE USE OR ENJOYMENT OF THE GIFT, INCLUDING, WITHOUT LIMITATION, ITS QUALITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. FURTHER, NO RESPONSIBILITIES ARE ACCEPTED FOR ANY ADDITIONAL EXPENSES, OMISSIONS, DELAYS, OR RE-ROUTING RESULTING FROM ANY ACTS OF ANY GOVERNMENT OR AUTHORITY.

BY PARTICIPATION IN THE CAMPAIGN, YOU HEREBY RELEASE BLUB BLUB AND EACH OF ITS AFFILIATES AND SUBSIDIARIES AND/OR EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS OR AGENTS, TO THE MAXIMUM EXTENT PERMITTED BY ANY APPLICABLE LAW, FROM AND AGAINST ANY AND ALL LIABILITY, LOSS, CLAIMS, DEMANDS OR ACTIONS OF ANY KIND WHATSOEVER WITH RESPECT TO INJURIES, DAMAGES, OR LOSSES, TO PERSONS OR PROPERTY, WHICH MAY BE SUSTAINED IN CONNECTION WITH SUBMITTING AN ENTRY, A SPIN, GIFTS, PARTICIPATION IN THE CAMPAIGN OR WITH RESPECT OF ANY ASPECT OF THE CAMPAIGN.

4 GOVERNING LAW

These Terms are governed by and controlled by the laws of the State of Delaware, applicable to contracts made and performed therein without reference to the applicable choice of law provisions. As a condition of participating in this Campaign, Participant agrees that any and all actions, proceedings, or litigation relating hereto, which cannot be resolved between the parties, will be instituted and prosecuted solely in Dover, State of Delaware, United States. Furthermore, in any such action, proceeding, or litigation, under no circumstances will Participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, including attorneys’ fees.

This Campaign is organized by Blub Blub and is not endorsed, sponsored, or administered by Apple or Google, nor is Apple or Google associated with this Campaign. Apple or Google do not have any responsibility for Participants.
